About these terms
These terms apply to services provided by [OWNER LEGAL NAME — REQUIRED BEFORE PUBLICATION], an individual trading under the unregistered brand Locentri ("Locentri", "we"), to a business client ("you"). Locentri is not an incorporated company.

If a written proposal agreed with you conflicts with these terms, the proposal prevails for that engagement.
Services and scope
Locentri provides research, analysis and recommendations in three areas: search engine optimization (SEO), research into AI-powered search and answer experiences (GEO), and localization of language, terminology and messaging.
The exact scope of each engagement is defined in a written proposal, including the deliverables, number of pages, target markets and languages, and exclusions. Work outside the agreed scope is not included unless agreed in writing.
Unless a proposal says otherwise, the services do not include implementing changes on your website or systems, or providing legal, tax, regulatory or compliance advice.
Proposals and acceptance
Each engagement begins with a written proposal. It sets out:
- the deliverables and any page or volume limits;
- the target countries, languages and language variants;
- the schedule and the information or access we need from you;
- fees, payment terms and the review and approval process;
- exclusions and how change requests are handled.
A proposal is valid for [VALIDITY PERIOD — TO BE DECIDED]. An agreement is formed when you accept the proposal in writing, which may be by email.
Fees and payment
Fees are those stated in the accepted proposal. No prices published elsewhere apply unless the proposal includes them. Expenses are charged only if agreed in writing in advance.

Delivery and timelines
Delivery dates in a proposal are good-faith estimates unless the proposal expressly states a fixed date. Timelines depend on receiving the information, access and approvals described in the proposal; delays on your side extend the schedule accordingly.
Deliverables are provided electronically, for example as documents and spreadsheets. Findings reflect the conditions observed on the dates recorded in the deliverable.
Revisions and change requests
Each proposal states the number of revision or clarification rounds included. Unlimited revisions are not offered.
Requests for additional pages, markets, languages or deliverables, or for changes to the agreed scope, are change requests. They are quoted separately and need written agreement before work starts.
Client responsibilities
You agree to:
- provide accurate and complete information about your business, products and goals;
- provide the access, materials and feedback described in the proposal on time;
- make sure you have the rights to any materials you provide;
- review deliverables and decide which recommendations to implement;
- obtain your own legal, regulatory or other professional advice where needed, including for legal pages and regulated claims;
- approve all content before it is published on your channels.
If you give Locentri access to tools such as Google Search Console, read-only access is preferred. You may revoke access at any time. Locentri does not change your systems unless that is expressly agreed.
Localization quality
Machine-generated or AI-assisted text is treated as a draft. Localized customer-facing content is delivered as final only after review by a demonstrably competent human reviewer for the language and market concerned, as set out in the proposal.
Locentri does not describe content as native-speaker or professionally reviewed unless that review actually took place. You remain responsible for final approval of all published content and for any legal or regulatory review it requires.
No guaranteed outcomes
Search engines and AI systems are operated by third parties and change frequently and without notice. Their results also depend on factors outside Locentri's control. For that reason, Locentri does not guarantee:
- indexing, search rankings or search visibility;
- mentions, citations or recommendations by any AI system;
- traffic, leads, conversions, revenue or market-entry success.
Findings describe what was observed or estimated at the time, with the evidence and limitations stated. AI search tests are dated samples and do not represent all users or future answers.
Tools and AI assistance
Locentri may use publicly available tools, including AI-assisted software, to prepare deliverables. Such tools have limits, which are stated where they affect a finding.
Locentri does not upload your confidential information or personal data to third-party AI services without your prior written agreement.
Intellectual property
- Materials you provide remain yours.

- Locentri keeps ownership of its own methods, templates, checklists, tools and general know-how, and may reuse them without your confidential information.
- Locentri will not name you as a client or publish your work as an example without your written consent.
Confidentiality and data protection
Each party will keep the other's non-public business information confidential and use it only for the engagement. This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or must be disclosed by law. Locentri processes personal data as described in the privacy policy. If an engagement requires Locentri to process personal data on your behalf, the parties will agree appropriate terms, such as a data processing agreement, where the applicable law requires it.
Cancellation and termination

Liability

- Locentri is not liable for indirect or consequential loss, or for loss of profit, revenue, rankings or business opportunity.

Nothing in these terms limits or excludes liability that cannot be limited or excluded under applicable law.
General
- Independent provider. Locentri acts as an independent provider. Nothing in an engagement creates employment, partnership or agency.
- Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control.
- Changes to these terms. Updated terms apply to new engagements; an accepted engagement continues on the terms agreed at the time.
